Formal service engagements are governed by a Master Services Agreement (MSA) and/or Statement of Work (SOW) executed between AICoE and the client. In the event of any conflict between these Terms and an MSA/SOW, the MSA/SOW shall prevail.
4.3 Client Responsibilities
For service engagements, clients are responsible for:
- Providing timely access to relevant systems, data, and personnel
- Ensuring accuracy of information provided to AICoE
- Designating authorised representatives for decision-making
- Reviewing and approving deliverables within agreed timeframes
5. Fees and Payment
5.1 Fees
Fees for services are specified in the applicable SOW or contract. Unless otherwise stated:
- Fees are quoted in pounds sterling (GBP) and exclusive of VAT
- Payment terms are net 30 days from invoice date
- Late payments may incur interest at 4% above the Bank of England base rate
5.2 Expenses
Reasonable expenses incurred in the delivery of services (travel, accommodation, third-party tools) will be invoiced separately as agreed in the SOW.
6. Confidentiality
Both parties agree to keep confidential information received from the other party in strict confidence and not to disclose it to third parties without prior written consent. This obligation survives termination of any engagement for a period of 3 years.
7. Data Protection
Our processing of personal data is governed by our Privacy Notice. For service engagements involving personal data processing, a separate Data Processing Agreement (DPA) will be provided as required under UK GDPR.
8. Limitation of Liability
8.1 Website

8.2 Services
For service engagements, AICoE's liability is limited to the total fees paid under the applicable SOW. We shall not be liable for:

- Damages arising from client's failure to fulfil responsibilities
- Third-party services or integrations
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

AICoE warrants that services will be performed with reasonable skill and care in accordance with generally accepted industry standards. If services fail to meet this standard, AICoE will, at its option, re-perform the services or refund the fees for the non-conforming portion.
10. Term and Termination

10.2 Service Engagements
Termination of service engagements is governed by the applicable MSA/SOW. Either party may terminate for material breach if the breach is not cured within 30 days of written notice.

Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including natural disasters, acts of government, labour disputes, or infrastructure failures.
12. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We may update these Terms periodically. Changes take effect upon posting to the Website. Your continued use of the Website after changes constitutes acceptance of the updated Terms.
